1. OUR SERVICES

Orsana is an AI-powered employee advocacy platform designed to help companies amplify their brand presence by offering different features for the creation of authentic employee generated content for LinkedIn. By leveraging advanced AI models and proprietary algorithms, Orsana enables companies to create tailored content and distribute internally, allowing employees to receive personalised post suggestions based on their role, expertise and authentic voice. Orsana is the employee advocacy platform which turns your employees into brand ambassadors, while increasing engagement, driving referrals and extend organic reach online.

2. FREE TRIAL AND SUBSCRIPTION

Orsana offers a limited free trial period as per plan and conditions indicated on the Site. After this trial, continued access requires a paid subscription. Subscriptions are billed yearly in advance. All subscriptions automatically renew unless canceled at least 30 days before the next billing cycle. In the case where you fail to provide us with a written cancellation notice, your subscription will be renewed automatically and fees will be due. Pricing details and subscriptions are managed exclusively online through our Site.

The available payment methods are as indicated and made available via Stripe. All payments shall be in Euros (€).

3. USER REPRESENTATIONS

By using the Services, you represent that:

all registration info is accurate;

you have the legal capacity to agree to these terms;

you are at least 18 years old;

you will not use the Services for any illegal or unauthorized purpose;

your use will not violate any LinkedIn or Meta (LinkedIn) platform policies.

You may not, including but not limited to:

use Orsana to generate spam, "fake news," or content that violates the community standards of LinkedIn;

circumvent or interfere with security features;

generate content which infringes third-party IP rights;

generate content that is obscene, harassing, or defamatory;

engage in automated scraping or data mining.

We reserve the right to suspend or terminate your access immediately if we determine, in our sole discretion, that you have violated these Terms.

4.INTELLECTUAL PROPERTY RIGHTS

We own or license all source code, databases, software, website designs, trademarks, and logos.

We grant you a non-exclusive, non-transferable license to access and use the Services for the purposes as outlined herein.

Subject to your payment of all applicable fees, you or your employees own the specific AI text or AI content generated for you or your employees via Orsana for personal branding purposes on LinkedIn, as much as it is legally possible.

5. TERMINATION

5.1 We reserve the exclusive, unilateral right to suspend or terminate your access to the Services immediately, without prior notice or liability, if we determine, in our sole discretion, that:

you have outstanding payment arrears;

you have violated any provision of these Terms;

your use of the Services poses a security risk to Orsana, our source code, or our infrastructure;

your actions may infringe upon the rights of third parties or violate the policies of LinkedIn;

5.2 If your account is terminated due to a violation of these terms, you shall not be entitled to a refund for any unused portion of your subscription or any prepaid fees.

6.MODIFICATION OF SERVICES

We reserve the right to make changes to the Services at any time in an effort to improve the Services in part or as a whole, including updating AI models or UI. If a change may have significant negative consequences for your existing use of the Services, we will use reasonable efforts to announce the change via email in advance.

7.DISCLAIMER OF WARRANTIES

We strive to provide you with innovative tools to elevate your employee advocacy and content creation for LinkedIn. We work on a commercially reasonable basis to ensure our AI models generate high-quality, engaging, and relevant content.

However, AI technology is rapidly evolving and is not perfect. Therefore, you acknowledge that mistakes can happen. Further, you acknowledge that the content generated is produced by Artificial Intelligence, which may occasionally produce hallucinations, meaning information that sounds confident but is factually incorrect or illogical.

To ensure your professional reputation remains intact, you agree that you are solely responsible for:

Vetting and Fact-Checking: reviewing every post for accuracy and truthfulness. Never assume the AI has the most current facts or data.

Brand Alignment: ensuring the tone and messaging meet your personal or corporate standards before you publish.

Intellectual Property: confirming that the generated content does not violate third-party intellectual property, privacy, or publicity rights once it is shared on LinkedIn.

AI Errors: accepting that Orsana is not liable for any hallucinations, biased outputs, or errors produced by the underlying Large Language Models.

8.INDEMNIFICATION

You agree to defend, indemnify, and hold the Company, including our subsidiaries, affiliates, officers, and agents, harmless from and against any loss, damage, liability, claim, or demand, including reasonable attorneys' fees and expenses, made by any third party due to or arising out of including, but not limited to:

Your Published Content: any claim that content generated by Orsana and published by you and/ or your employees violates the intellectual property, privacy, or publicity rights of a third party, or constitutes defamation or libel.

Platform Violations: any claim from LinkedIn that your use or that of your employees’ of Orsana violates their respective Developer or User Agreements.

Breach of Terms: your and/or your employees’ violation of these Terms or the representations and warranties set forth herein.

9.LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, the Company, its directors, employees, or agents shall not be liable to you or any third party for any indirect, consequential, exemplary, incidental, special, or punitive damages. This includes, but is not limited to:

Loss of Profit or Revenue: any business lost because a post did not perform well or caused a PR issue.

Platform Penalties: any shadow-banning, suspension, or termination of your LinkedIn account resulting from the use of our Services.

AI Inaccuracies: any damages arising from hallucinations, factual errors, or offensive content generated by the AI.

Data Loss: any corruption or loss of data transmitted through the Services.

Notwithstanding anything to the contrary contained herein, our total liability to you for any cause whatsoever, and regardless of the form of the action, will at all times be limited to the amount paid, if any, by you to Orsana during the six (6) month period prior to the cause of action arising.

10. FORCE MAJEURE

The Company shall be excused from performance of its obligations if a failure results from causes beyond our reasonable control, including but not limited to: acts of God, pandemic, fire, terrorist attack, war, national emergency, denial of service attacks, or large-scale internet/API outages. Force Majeure incidents shall never result in Company providing a refund.

11. MISCELLANEOUS

11.1 Modifications of Terms: these Terms may be modified by Orsana from time to time. New versions will be published on our website and will come into effect with the next renewal or upgrade cycle. In exceptional cases, we may enforce the modified Terms earlier, in which case you will be promptly informed via email.

11.2 Entire Agreement: these Terms, along with our Privacy Policy, constitute the entire agreement between you and Orsana regarding the Services.

11.3 Survival: after termination, clauses regarding intellectual property, due payments, disclaimers, limitations of liability, and jurisdiction shall remain in effect.

11.4 Severability: if any provision is found unenforceable, it shall be limited to the minimum extent necessary so that the rest of the Agreement remains in full effect.

11.5 Assignment: you may not assign this Agreement without our written consent, except in cases of merger or acquisition with prior 30 days notice. Orsana may assign its rights at any time.

11.6 Independent Contractors: no agency, partnership, or joint venture is created by this Agreement.

11.7 Marketing: you agree that we may use your company name and logo in our marketing materials, regardless whether online or offline.

12. GOVERNING LAW

These Legal Terms and your use of the Services are governed by and construed in accordance with the laws of France and any dispute shall be settled exclusively in the courts of Strasbourg, France.

You acknowledge that the information provided via our Services is not intended for distribution in jurisdictions where such distribution would violate local law.

Data Processing Agreement (DPA)

This Data Processing Agreement forms part of the Terms and Conditions between Orsana, hereby acting as Processor, and you, hereby acting as Controller.
